Can You Still Register a Property Sale in Lebanon After 10 Years?

You signed the sale, maybe even at the registry, but never completed the transfer. Ten years later, is the buyer's right gone? Prescription, interruption and possession under Lebanese law.

Can You Still Register a Property Sale in Lebanon After 10 Years?

It's one of the most common files on a Lebanese lawyer's desk. A buyer paid, signed, maybe moved in. The transfer was never registered. A decade later, the seller has died, changed their mind, or simply won't sign. Can the sale still be enforced?

The short version: it depends on whether the buyer's right has prescribed, and whether anything interrupted the clock.

    The short answer

    • Signing doesn't transfer ownership. Registration does. Under Decision 188 of 1926, real estate agreements take effect, even between the parties, only from the date they're registered.
    • Until registration, the buyer holds a personal right: a right to make the seller register. The Court of Cassation has held that this right is subject to ten-year prescription.
    • The clock can be interrupted. A claim, a protective act, or the seller's acknowledgment of the buyer's right restarts it.
    • Prescription isn't automatic. The seller has to raise it. A judge can't apply it on their own.

Why registration is the whole game

Lebanon runs a land registry system. Decision 188/1926, Article 11, says real estate agreements are not effective "even between the contracting parties" until registered. Article 393 of the Code of Obligations and Contracts says the same for sales of real estate.

So a signed sale, however formal, leaves the property in the seller's name. What the buyer gets is an obligation: the seller must complete the registration.

What about a ممسوح contract? In practice, this is the sale contract prepared for registration, signed before the assistant registrar or through a notary. It's the step just before the transfer. But the same rule applies: the transfer happens at registration, not at signature. If the file stopped at signature, the buyer's position is still a right to demand registration.

    The ten-year clock

Article 349 of the Code of Obligations and Contracts sets the general prescription period: prescription is complete, in principle, after ten years. Article 348 adds that the clock starts when the obligation becomes due.

    Applied to sales:

    • The Court of Cassation (10th Chamber, Decision No. 33, 9 July 2009) held that an ordinary sale gives the buyer a personal right to require registration, and that this right lapses after ten years.
    • An older Cassation decision (3rd Chamber, No. 4, 9 January 1963) held the buyer's right stays personal and subject to prescription even where the buyer has taken possession.

    What stops the clock

A claim or protective act. Article 357 says prescription is interrupted by a valid judicial or extrajudicial claim, or a protective act.

The seller's acknowledgment. Article 358 says acknowledgment of the creditor's right interrupts prescription. Courts have treated some conduct as acknowledgment:

    • Cassation, 9th Chamber, No. 3, 22 February 2005: open, continuous possession with the seller's knowledge interrupted prescription.
    • Cassation, 8th Chamber, No. 56, 23 September 2014: the buyer's receipt of the property was treated as the seller's acknowledgment.

Not everything counts. Handing over the title deed, or an engineer reviewing the file, has been held not to be enough.

Note the tension. The 1963 decision says possession doesn't stop the buyer's right from being subject to prescription. Later decisions treat open possession with the seller's knowledge as acknowledgment that interrupts it. These aren't necessarily in conflict (one is about the nature of the right, the other about interruption), but the facts of possession will decide many of these files.

    Does a provisional registration help?

Recording a provisional registration (قيد احتياطي) or a lawsuit notation (إشارة دعوى) on the property sheet protects the buyer against third parties. But the Beirut Court of Appeal (3rd Chamber, No. 432, 25 April 1996) held that it doesn't transfer ownership or turn the buyer's personal right into a registered right. Only final registration does that. Rights actually recorded in the registry are not subject to prescription.

What about an irrevocable power of attorney?

Many Lebanese sales are carried out through an irrevocable agency in the buyer's favour. Courts have looked at how long these remain usable, and at least one Cassation decision (9th Chamber, No. 61, 16 October 2014) annulled a registration made after ten years under such an agency. If your file depends on an old power of attorney, check this point early.

    A checklist for the file

    • When was the sale signed, and when did registration become due?
    • Has any claim, notice or protective act been filed since? (Art. 357)
    • Is there anything that counts as the seller's acknowledgment: possession with the seller's knowledge, delivery, written admissions? (Art. 358)
    • Has the seller raised prescription, or are they cooperating? (Art. 345)
    • Was there a provisional registration or lawsuit notation? (Protects against third parties, doesn't stop prescription.)
    • Is the transfer based on a power of attorney, and how old is it?

    Frequently asked questions

Is the ten years counted from the contract date?

From when the obligation to register became due (Art. 348). Often that's the contract date, but not always.

Can the parties just register after ten years if both agree?

Prescription must be raised by the person who benefits from it (Art. 345). If the seller cooperates and doesn't raise it, registration can go ahead.

Does this apply in unsurveyed areas?

This guide covers surveyed land in the registry system. Unsurveyed land raises separate questions, including acquisitive prescription. Check the cadastral status first.
